SPONSOR - Aceable, Inc., a Delaware corporation (“Aceable” or “Sponsor”), located at 610 West Fifth Street, Suite 603, Austin, TX 78701, will serve as the sponsor of the Aceable Instagram Roadtrip Giveaway (the “Giveaway”) taking place in connection with the Instagram username @aceable (the “Site”).
GIVEAWAY PERIOD - Aceable will host the Giveaway starting at 1:00 pm CT on Wednesday, March 22, 2023 and ending at 11:59 pm CT on Monday, April 24, 2023 (the “Entry Period”). The time of receipt of any valid Entry shall be the time such valid Entry becomes available to Sponsor on Instagram. Sponsor's computer shall be the official clock of the Giveaway.
No responsibility is assumed by the Sponsor for any inability of a potential entrant to successfully enter the Giveaway for any reason. Each Entrant’s eligibility and each Entry is subject to verification.
ELIGIBILITY - The Giveaway is open only to applicants who are legal residents of the 50 United States and District of Columbia, who are physically located and residing therein (excluding Guam, Puerto Rico and all other U.S. and foreign territories and possessions), and are 18 years of age or older at the time of entry. Children 13 years of age or older may participate in the Giveaway but only Entrants (as defined below) can win Prizes (as defined below). Employees of Sponsor, and its parent, subsidiaries, affiliates and promotion and advertising agencies, and members of their immediate family (spouse, parent, child, sibling and their respective spouses, regardless of where they reside) and persons living in the same household, whether or not related, of such employees, are not eligible to enter or win. The Giveaway is subject to all applicable federal, state and local laws.
An “Entrant” is a person who is 18 years of age or older who has entered the Giveaway and is in compliance with these Official Rules, or a Parent or Legal Guardian of an individual under the age of 18 who has entered the Giveaway, that has given express, verifiable consent to the minor’s participation in the Giveaway, and is in compliance with these Official Rules.
HOW TO ENTER - To enter the Giveaway, you must have a valid, public (i.e. not "private” or “protected") Instagram account. If you do not have an Instagram account, visit www.instagram.com and register in accordance with the enrollment instructions for a free Instagram account. During the Entry Period, each Entrant may enter the Giveaway by completing the following steps: (i) LIKE the Giveaway post on the Site, (ii) tag one (1) friend in the comments of the Giveaway post, and (iii) follow @aceable on Instagram. Successful completion of these steps by an eligible entrant shall result in an “Entry.” Entrants may also SHARE the Giveaway post to their Story on Instagram. Each SHARE to the Entrant’s Story on Instagram will be treated as an additional Entry.
ENTRY GUIDELINES - Limit one (1) Entry per Instagram username for each comment on the Giveaway post plus one (1) Entry per Instagram username per day for each time that Entrant SHARES the Giveaway post to the Entrant’s story on Instagram. Any individual suspected of submitting Entries in excess of the limit will be disqualified from participation in the Giveaway. Entries generated by script, macro or other automated or mechanical means and Entries by any means which subvert the entry process are void.
Entries with comments containing any of the following will be disqualified: (1) infringement of the intellectual property or other rights of a third party; (2) commercial, political, religious or third party advertising or messaging; (3) defamatory words or statements, including words or symbols that are unacceptably offensive to individuals on the basis of race, ethnicity, gender, religion, sexual orientation or membership in a socioeconomic group; (4) any lewd or sexually explicit suggestive content; (5) any content that promotes use of alcohol, tobacco, firearms/weapons, or any violent, unsafe or dangerous behavior, activities or situations; (6) threats to any person, place, business or group; (7) profanity or obscenity; (8) anything that would disparage or off end persons or organizations associated with Sponsor; (9) anything which incites, encourages or depicts dangerous conduct, stunts or tricks, or behavior or acts that are unsafe, wrongful or immoral; (10) inappropriate (for the context) bathroom talk; or (11) anything that violates federal, state or local laws and regulation.
Sponsor, in its sole discretion, may disqualify an Entrant from the Giveaway, refuse to award the Prize and require the return of the Prize, if an Entrant has engaged in conduct Sponsor deems, in its sole discretion, to be improper, unfair, discriminatory, indecent, fraudulent, unsafe, or otherwise adverse to the operation of the Giveaway or in any way detrimental to other users or the Sponsor. Improper conduct includes, but is not limited to: Falsifying personal information required to claim a Prize; using unauthorized methods such as unauthorized scripts or other automated means; tampering with the administration of the Giveaway or trying to in any way tamper with the computer programs associated with the Giveaways; obtaining other Entrants’ information and spamming other Entrants; and any other form of abuse; or otherwise violating the Official Rules or Instagram terms of use. Entrants acknowledge that the forfeiture and/or return of any Prize shall in no way prevent Sponsor from informing the relevant authorities, and/or pursuing criminal or civil proceedings in connection with such conduct. Additionally, an Entrant may be disqualified from participating in the Giveaway and/or winning a Prize for cheating or other bad faith acts in the sole discretion of Sponsor. Sponsor reserves the right to disqualify any Entry that it determines, in its sole discretion, violates these guidelines.
PRIZE - There will be one (1) prize (the “Prize”) awarded and one (1) Winner (selected as described in Section 8 below). The Prize will be the following gift cards: (i) a $100 Erewhon gift card, (ii) a $100 Apple gift card, (iii) a $100 Chevron gift card, (iv) a $100 Patagonia gift card and (iv) a $100 In-N-Out Burger gift card. The total retail value of all Prizes is $500. All federal, state, and local taxes associated with the receipt or use of any Prize or participating in the Giveaway are the sole responsibility of the Winner. No transfer, substitution, cash redemption, or splitting of the Prizes will be awarded in lieu of the stated prize, except in the sole discretion of Sponsor. Sponsor reserves the right, at its sole discretion, to substitute the Prize with one of comparable or greater value. Prize award is subject to verification of eligibility and compliance with these Official Rules. All prize details are at Sponsor’s sole discretion. Any and all prize related taxes and expenses, including without limitation any and all federal, state, provincial and/or local taxes shall be the sole responsibility of the Winner. The Winner of any prize with a value of $600 or greater will be issued a 1099 U.S. Tax Form for the retail value of the prize.
WINNER SELECTION - On or before April 25, 2023, one (1) Entrant (a “Winner”) will be selected in a random drawing by Sponsor from among all eligible Entries received throughout the Entry Period. The random drawing will be conducted by Sponsor or its designated representatives, whose decisions are final. Odds of winning will vary depending on the number of eligible Entries received. All decisions of Sponsor are final and binding with respect to all matters relating to the Giveaway.
WINNER NOTIFICATION - The Winner will be notified by telephone, mail, and/or email on or before April 25, 2023. Entrants and Winners may be required to provide proof of identification, including date of birth or age, and execute and return an Affidavit of Eligibility and Publicity/Liability Release, an IRS Form W-9 (i.e., Request for Taxpayer Identification Number and Certification), if necessary, and any other required tax documents within three (3) days of delivery of such documents to a Winner by Sponsor. Failure to return all required documents in this time period may result in the Winner being disqualified and an alternate Winner selected. Return of prize notification as undeliverable, Winner’s failure to sign and return any requested documentation within three (3) days of delivery of such documents to a Winner by Sponsor (or such other time period as Sponsor may specify in its sole discretion), the inability of Sponsor to contact the Winner within a reasonable time period, or noncompliance with these Official Rules by the Winner will result in disqualification and, at Sponsor’s sole discretion, an alternate winner may be selected.
GENERAL CONDITIONS/RELEASE - By submitting an Entry, all Entrants (including Winners) and participants in the Giveaway (and the parent or legal guardian of any participants, if a participant is under the age of 18 or deemed a minor in his/her state of residence) agree to the releases set forth in Section 10 below and represent and warrant that: (i) they have read, understand, and agree to follow the Official Rules and decisions of Sponsor; and (ii) the Entry complies with these Official Rules. By submitting an Entry and/or accepting the Prize, the Entrant and Winner hereby grant to Sponsor the right (except where otherwise prohibited by law), to the disclosure and reasonable use of your name, likeness, voice, photograph, and/or image and Entry for programming, advertising, publicity and promotional purposes in any and all media, now or hereafter known, worldwide and on the internet, and in perpetuity by Sponsor and its designees, without compensation (unless prohibited by law) or additional consents from you or any third party (unless specifically requested by Sponsor to so provide) and without prior notice, approval or inspection. In addition, you agree to release, discharge and hold harmless Sponsor and its parent, affiliates, subsidiaries, and advertising and promotion agencies, and their respective officers, directors, shareholders, employees, agents and representatives of the foregoing (collectively, “Released Parties”) from any and all injuries, liability, losses and damages of any kind to persons, including death, or property resulting, in whole or in part, directly or indirectly, from Winner or Entrant’s participation in the Giveaway or any Giveaway-related activity (including, without limitation, Winner or Entrant’s access to, or submission through, the entry page) or the acceptance, possession, use or misuse of the awarded prize. You agree to waive (i) any right to publicity, privacy or moral rights relating to the Entry or your participation in this Giveaway, and (ii) any right to inspect or approve uses of the Entry or to be compensated for any such uses. To the extent these rights may not be waived legally, you agree not to assert them.
IMPORTANT DISCLAIMERS AND LIMITATIONS - Released Parties are not responsible for lost, late, incomplete, damaged, inaccurate, delayed, stolen, delayed, misdirected, undelivered, illegible or garbled Entries; or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Giveaway, including, without limitation, errors or difficulties which may occur in connection with the administration of the Giveaway, the processing or judging of Entries, the announcement of the prize, or in any Giveaway-related materials. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Giveaway. Released Parties are not responsible for injury or damage to any person’s computer related to or resulting from participating in this Giveaway or downloading materials from or use of the website. Persons who tamper with or abuse any aspect of the Giveaway or website, who act in an unsportsmanlike or disruptive manner or who are in violation of these Official Rules, as solely determined by Sponsor, will be disqualified and all associated Entries will be void. Should any portion of the Giveaway be, in Sponsor’s sole opinion, compromised by a virus, worms, bugs, non-authorized human intervention or other causes which, in the sole opinion of the Sponsor, corrupt or impair the administration, security, fairness or proper play, or submission of Entries, Sponsor reserves the right at its sole discretion to suspend, modify or terminate the Giveaway and, if terminated, at its discretion, select the potential winner from all eligible, non-suspect Entries received prior to action taken using the judging procedure outlined above. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.
There are NO WARRANTIES express or implied made by Sponsor and, additionally, no implied indemnities of any kind and Sponsor hereby disclaims any and all representations or warranties of any kind regarding the Giveaway.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE RELEASED PARTIES HEREBY DISCLAIM ANY WARRANTIES, OBLIGATIONS, LIABILITIES, RIGHTS AND REMEDIES, EXPRESS OR IMPLIED, ORAL OR WRITTEN, ARISING BY LAW OR OTHERWISE, INCLUDING THE WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, TITLE, INFRINGEMENT OR ANY IMPLIED INDEMNITIES. YOU UNDERSTAND AND ACKNOWLEDGE THAT SPONSOR HAS NOT MADE, AND YOU ARE NOT RELYING ON, ANY EXPRESS OR IMPLIED WARRANTIES OR REPRESENTATIONS TO YOU REGARDING THE VALUE OF THIS PROMOTION OR THE ODDS OF YOU BECOMING A WINNER, OR ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, LACK OF VIRUSES OR OTHER HARMFUL COMPONENTS AND ACCURACY OF THE INFORMATION, PRODUCTS, SERVICES AND RELATED GRAPHICS USED IN CONNECTION WITH THE PROMOTION, THESE OFFICIAL RULES OR ANY WEBSITES. ALL DATA, INFORMATION, PRODUCTS, SERVICES AND GRAPHICS RELATED TO THE PROMOTION, THESE OFFICIAL RULES, THE GIVEAWAY AND ANY WEBSITES ARE PROVIDED “AS-IS, WHERE-IS” WITHOUT TECHNICAL SUPPORT OF ANY KIND.
IN NO EVENT SHALL THE RELEASED PARTIES BE LIABLE TO YOU OR ANY THIRD PARTY FOR INCIDENTAL, INDIRECT, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES (INCLUDING WITHOUT LIMITATION LOST PROFITS OR LOST PRIZES) RELATED TO THE PROMOTION. Sponsor reserves the right to cancel, terminate, modify, or suspend the Giveaway at any time.
GOVERNING LAW - All federal, state and local laws and regulations are applicable. By entering the Giveaway, Entrants agree that all issues and questions concerning the construction, validity, interpretation and enforceability of the Giveaway, these Official Rules, participants’ rights and obligations, or the rights and obligations of the Sponsor in connection with the Giveaway shall be governed by, and construed and enforced in accordance with the United States Federal Arbitration Act and the laws of the State of Texas, without giving effect to any choice of law or conflict of law rules, which would cause the application of the laws of any jurisdiction other than the State of Texas, irrespective of the fact that any one of the parties is now or may become a resident of a different state.
DISPUTES - AS A CONDITION OF PARTICIPATING IN THE GIVEAWAY OR WINNING A PRIZE, YOU AGREE THAT ANY DISPUTE OR CLAIM ARISING OUT OF OR RELATING IN ANY WAY TO THESE TERMS AND CONDITIONS, YOUR PARTICIPATION IN THE SWEEPSTAKES, INCLUDING, BUT NOT LIMITED TO, THE VALIDITY, APPLICABILITY OR INTERPRETATION OF THESE OFFICIAL RULES (“CLAIM”), SHALL BE RESOLVED BY BINDING ARBITRATION RATHER THAN IN COURT, EXCEPT THAT YOU MAY ASSERT CLAIMS IN SMALL CLAIMS COURT IF YOUR CLAIMS QUALIFY. THERE IS NO JUDGE OR JURY IN ARBITRATION, AND COURT REVIEW OF AN ARBITRATION AWARD IS LIMITED.
The arbitration will be conducted by the American Arbitration Association (AAA) under its then-applicable rules, including (as appropriate) its Consumer Arbitration Rules. The AAA's rules are available at http://www.adr.org/. Payment of all filing, administration and arbitrator fees will be governed by the AAA’s rules. The arbitration shall be conducted in the English language by a single independent and neutral arbitrator. For any hearing conducted in person as part of the arbitration, you agree that the hearing will be conducted in Austin, Texas or, if the Consumer Arbitration Rules apply, another location reasonably convenient to both parties with due consideration of their ability to travel and other pertinent circumstances, as determined by the arbitrator. The decision of the arbitrator on all matters relating to a Claim shall be final and binding. Judgment on the arbitral award may be entered in any court of competent jurisdiction.
WE EACH AGREE THAT ALL CLAIMS SHALL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED OR REPRESENTATIVE ACTION OR ARBITRATION. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN IN ARBITRATION, WE EACH WAIVE ANY RIGHT TO A JURY TRIAL AND AGREE THAT SUCH CLAIM SHALL BE BROUGHT ONLY IN A COURT OF COMPETENT JURISDICTION IN AUSTIN, TEXAS. YOU HEREBY SUBMIT TO THE PERSONAL JURISDICTION AND VENUE OF SUCH COURTS AND WAIVE ANY OBJECTION ON THE GROUNDS OF VENUE, FORUM NON-CONVENIENS OR ANY SIMILAR GROUNDS WITH RESPECT TO ANY SUCH CLAIM.
Any claim or cause of action arising out of or related to this Giveaway or these Official Rules must be filed within one (1) year after such claim or cause of action arose regardless of any law to the contrary. In the event any such claim or cause of action is not filed within such one (1) year period, such claim or cause of action shall be forever barred.
MISCELLANEOUS - If any provision of these Official Rules shall be held invalid, illegal or unenforceable, such provision shall be enforced to the maximum extent permitted by law and the Sponsor’s fundamental intentions hereunder, and the remaining provisions shall not be affected or impaired, provided, however, that in such cases the parties oblige themselves to use their best efforts to achieve the purpose of the invalid provision by a new legally valid stipulation. Sponsor's failure to enforce any term of these Official Rules will not constitute a waiver of that provision. Entrants and Winners agree to waive any rights to claim ambiguity of these Official Rules. Headings are solely for convenience of reference and will not be deemed to affect in any manner the meaning or intent of the documents or any provision hereof. In the event the Sponsor is prevented from awarding the Prize or continuing with the Giveaway as contemplated herein due to any event beyond its control, including, but not limited to, technical failure, fire, flood, earthquake, explosion, labor dispute or strike, act of God, riot or civil disturbance, pandemic, terrorist threat or activity, war (declared or undeclared), or any federal, state, or local government law, order, or regulation, or any other cause not reasonably within the Sponsor’s control, then the Sponsor shall have the sole right to modify, suspend, or terminate the Giveaway.
PRIVACY; PUBLICITY; USE OF PERSONAL INFORMATION - By participating in the Giveaway, eligible Entrants and/or Winners hereby consent to Sponsor’s or its authorized agents’ collection, use, and disclosure of Entrant’s and/or Winner’s personal information for the purposes of administering the Giveaway, and Prize fulfillment. Each Entrant acknowledges that he/she has read, understood and accepted the Sponsor’s Privacy Statement, which provides more information about Sponsor’s privacy practices and is located at www.aceable.com/privacy-policy/. The Sponsor’s Privacy Statement is in addition to those terms in these Official Rules concerning privacy, use of personal information, and publicity. Entrants may be offered the optional opportunity to receive coupons, newsletters, informational materials, marketing communications, or other special promotions, or other offers from Sponsor and/or third-party service providers. By accepting a Prize, Winner agrees to Sponsor's use of his/her name(s), picture(s), biographical information, statements, voice and likeness in any advertising and publicity Sponsor and its respective successors, assigns and licensees may conduct relating to the Giveaway in any media or format, whether now known or hereafter developed, including but not limited to the Internet, at any time or times in perpetuity, without further compensation or notice, and hereby releases Released Parties from any liability with respect thereto. Winner may be required to sign a further release regarding the grant of these publicity rights, unless prohibited or restricted by law.
